FSA loosens the rules on stock compensation from senior execs

政府が取り組むコーポレートガバナンス強化の一環として、「日本再興戦略」改訂2015では、民間企業の経営陣に中長期的な企業価値を高めるインセンティブを与えるべく、報酬を柔軟に付与できるようにすべきとしています。

今回の改正案は、具体的には、リストリクテッド・ストックを第三者割当の定義から除外して、有価証券届出書における記載も不要とするものです。これによって、既に除外、記載不要とされているストックオプションと並んで、インセンティブを柔軟に付与することが可能となります。

国際銀行協会は、今回の改正案を全面的に支持いたします。日本企業は、ROEを一層重視する必要があり、それはJPX日経インデックス400における銘柄選定基準の１つともなっており、コーポレートガバナンス・コードの策定・採用の契機ともなっています。

経営陣に適切なインセンティブを与え、コーポレートガバナンス強化を支援することによって、日本経済の活性化に資するものと考えております。

IBA Japan Statement on restrictions on the re-entry into Japan of non-Japanese nationals during the COVID-19 Pandemic

The International Bankers Association of Japan (IBAJ) represents 53 major non-Japanese global banking groups operating in Japan. We work closely with the Japanese financial authorities such as the Ministry of Finance, the Bank of Japan, and the Financial Services Agency. We also collaborate with the self-regulatory organizations including the Japan Securities Dealers Association and the Tokyo Stock Exchange in addition to other trade organizations such as the Japanese Bankers Association. IBAJ was founded over 35 years ago.

Trends for Banking and Capital Markets in 2015

The financial services industry is on more solid footing than it has been for quite some time. The U.S. economy continues to improve, although concerns remain in both Europe and some emerging markets. Investor sentiment is a bit cautious going into 2015, despite profitability being quite strong in many sectors. As market players continue to strive for growth, two global experts from Deloitte will share with us their outlook for 2015. The presentation will focus on global trends in regulations, risk management, compliance and cybersecurity and share some thoughts about Japan.

KPMG Publishes its 2015 Foreign Banks in Japan Survey

KPMG released its annual survey of published financial statements of foreign banks operating in Japan.

The financial information included in this survey represent the English translation of the condensed balance sheets for the fifty-six foreign banks registered in Japan and their related condensed statements of income as of and for the year ended March 31, 2015.
