The new Corporate Law came into force on May 1 and changes the corporate legislation with the purpose of modernizing existing laws and introducing more flexibility. The main features of the new law concern mergers and acquisitions as well as ways of structuring businesses in Japan. In addition, after many high-profile battles for corporate control, the take over bid (TOB) rule will be amended.

 

The two speakers addressed the following:

  • Mr. Nakata discussed the recent changes to the Corporate Law affecting M&A financing and the expected changes to TOB rules; and
  • Mr. Katayama outlined recent changes to the Corporate Law impacting M&A transactions (regarding structure and procedures).
